The rules for using Framewyre's CRM platform and Clara, our built-in AI voice receptionist & project manager.
Last updated: [Insert effective date] · Draft prepared as a starting template — Andreas should have this reviewed by a licensed attorney before publishing live.
These Terms of Service ("Terms") are a binding agreement between you (a "Customer," "you," or "Contractor") and Framewyre ("Framewyre," "we," "us"), a business based in Naples, Florida, governing your access to and use of the Framewyre contractor CRM platform — leads, estimates, invoicing, scheduling, job tracking & subcontractor management — together with Clara, our built-in AI voice receptionist and AI project manager (together, the "Service"). By creating an account, starting a free trial, or otherwise using the Service, you agree to these Terms.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, do not use the Service.
Framewyre, including Clara, is currently offered as a beta / early-access product. The platform is under active development, and while we work hard to make it reliable, you should expect that a beta product can behave differently than a fully mature, established product.
To the maximum extent permitted by applicable law, Framewyre and its owners, officers, employees, contractors, and licensors are not liable for any business losses, missed leads, missed or double-booked appointments, lost revenue, reputational harm, or other damages arising from or related to your use of the Service during this beta / early-access period — whether caused by Clara, the CRM software, an integration, or any other part of the Service. You are strongly encouraged to independently confirm important calls, messages, appointments, and data (especially during the early weeks of use) rather than relying on the Service as your sole record or safeguard.
This beta disclaimer works together with, and does not limit, the broader Disclaimer of Warranties (Section 10) and Limitation of Liability (Section 11) below. We will provide notice if and when the Service exits beta / early-access status, at which point this section may be updated or removed.
Framewyre is a business operating system for contractors and trade businesses (general contractors, HVAC, plumbing, landscaping and similar crews). The Service includes:
What each plan includes. Every plan includes the CRM itself, starting with Core CRM at $199/mo (CRM only — Clara and the marketing automation suite are not part of that plan). Clara — together with her dedicated phone number and call activity view — is provided on the Core + Clara plan at $399/mo and on Premium at $799/mo. The marketing automation suite is provided on the Premium plan at $799/mo only. Current plans and prices are listed on our Pricing page.
We may add, change, or remove features of the Service from time to time, including during the beta period described in Section 2.
You agree not to use the Service to:
We may suspend accounts that we reasonably believe violate this section, with notice where practicable.
Clara is an AI voice receptionist and AI project manager, provided on the Core + Clara ($399/mo) and Premium ($799/mo) plans, who can, on your behalf: answer inbound calls in real time (e.g., answering missed calls, qualifying leads, and booking jobs onto your calendar); place certain outbound calls (for example, about overdue tasks, invoices, or appointment reminders); send SMS text messages (such as appointment confirmations, review requests, and follow-ups) to you and to your customers/leads; and take messages when a caller can't be helped immediately. Using Clara's calling and texting features carries legal obligations that you — the Contractor and Framewyre customer — are responsible for meeting, alongside Framewyre.
By creating an account and enabling Clara, you consent to Clara making and receiving phone calls, and sending and receiving SMS text messages, using your Framewyre-assigned business phone number, on your behalf and on behalf of your business, to and from your customers, leads, and subcontractors. You authorize Framewyre to use automated and AI-assisted systems to do this. You understand that Clara's messages and calls are sent under your business's identity, and that your customers and leads may reasonably believe they are communicating with your business.
When Clara places, answers, or texts on your account's behalf, you (not Framewyre) are treated as the business initiating or receiving that communication for purposes of consumer-protection law, including the U.S. Telephone Consumer Protection Act ("TCPA"), the CAN-SPAM/CTIA messaging guidelines, and similar state and federal telemarketing/robocall/anti-spam rules. You are responsible for ensuring every call or text Clara sends on your behalf complies with applicable law.
Many states — including Florida, where Framewyre is based — are "two-party" (all-party) consent states under laws like the Florida Security of Communications Act (Fla. Stat. § 934.03). That means every participant on a call must be told the call is being handled by an AI assistant before the AI-assisted portion of the call proceeds.
You agree to indemnify and hold Framewyre harmless from claims, fines, or penalties (including under the TCPA, state wiretap/eavesdropping statutes, anti-spam laws, or similar laws) arising from your failure to obtain required consent, disable required disclosures, or otherwise misuse Clara's calling or texting features. See Section 12 (Indemnification) below.
This section is informational and not legal advice. Consent and disclosure laws vary by state and change over time — confirm your specific obligations with a licensed attorney before enabling Clara for outbound calling or texting in any jurisdiction.
Each customer's data (leads, estimates, invoices, schedules, call/SMS logs, notes, and other CRM content, collectively "Customer Data") is stored in your own account workspace. You own and retain all rights, title, and interest in your Customer Data. We do not sell your Customer Data, and we do not mix or expose one customer's Customer Data to another customer. You grant Framewyre a limited license to host, process, and transmit Customer Data solely as necessary to provide and support the Service. See our Privacy Policy for full detail on collection, storage, and data handling.
Framewyre and its licensors retain all rights, title, and interest in the Service, including the CRM software, Clara, all underlying models/scripts, and our trademarks and logos. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription term — nothing here transfers ownership of our IP to you, and nothing here transfers ownership of your Customer Data to us.
THE SERVICE (INCLUDING CLARA) IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AS DESCRIBED IN SECTION 2, THE SERVICE IS CURRENTLY IN BETA / EARLY ACCESS. WE DO NOT WARRANT THAT CLARA'S CALL OR SMS HANDLING, SCHEDULING, OR DATA WILL BE ERROR-FREE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAMEWYRE AND ITS OWNERS, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE — INCLUDING, WITHOUT LIMITATION, DAMAGES RESULTING FROM MISSED CALLS, MISSED OR DOUBLE-BOOKED APPOINTMENTS, MISSED LEADS, OR SMS/DATA ERRORS ARISING DURING THE BETA / EARLY-ACCESS PERIOD DESCRIBED IN SECTION 2. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot be limited under applicable law, and nothing in this section limits your indemnification obligations under Section 7.5 and Section 12.
You agree to defend, indemnify, and hold harmless Framewyre from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, including calls, texts, or messages placed or received through Clara; (b) your violation of these Terms or applicable law, including TCPA, anti-spam, and two-party consent/recording-disclosure requirements described in Section 7; or (c) Customer Data you upload or generate through the Service.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, unless a different governing law is required by the law of your jurisdiction. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Collier County, Florida, and both parties consent to personal jurisdiction there — subject to any mandatory consumer-protection venue rules that cannot be waived.
We may update these Terms from time to time, including as the Service moves out of beta / early access. If we make material changes, we will provide notice (e.g., by email or an in-app banner) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Questions about these Terms can be sent to info@framewyre.com or (239) 555-0142.
